1.DEFINITIONS & CORPORATE IDENTITY

For the purposes of these Terms & Conditions, the terms “Modernab Gallery,” “Modernab,” and
“Modernab Srl” all designate the same legal entity:

All references to these names are interchangeable and identify Modernab Srl as the sole contracting
party for all offers, sales, communications, and transactions.


By engaging with Modernab through any communication channel, the buyer agrees any purchase
constitutes a binding contract with Modernab Srl.


Placing an order, making a payment, or confirming intent to purchase constitutes full acceptance of
these Terms & Conditions.

2.PAYMENT

Buyers must pay immediately upon receipt of invoice unless otherwise agreed in writing.
Accepted payment methods: Credit/Debit Card, Bank Transfer, Cash.
Ownership remains with Modernab until payment is received in full.
Partial payments are binding commitments. If no written update is received within 90 days, Modernab
may retain the full amount.
Balances not paid within 30 days may result in release or resale of the item.
Bank fees and exchange losses are borne by the buyer.
Chargebacks are prohibited.

3.SHIPPING & DELIVERY

Modernab ships worldwide via professional logistics partners. Items may also be collected personally or
through authorized third parties at Modernab’s premises.
All shipping costs, customs duties, import taxes, brokerage fees, administrative charges, and handling
fees are the sole responsibility of the buyer unless otherwise agreed in writing.

3.1 Standard Lead Time for Dispatch
Unless explicitly stated otherwise in writing, the standard timeframe for preparing, packing, and
dispatching any purchased item is 3–4 weeks from the date full payment is received.

3.2 Showroom Orders
Items purchased directly from Modernab’s physical showroom will be ready for pickup or dispatch
within 5 to 10 business days from the date full payment is received.
This includes final cleaning, inspection, documentation, packing arrangements, and logistics
coordination.
Minor variations or delays within this window do not constitute grounds for cancellation, refund,
compensation, or any claim.

3.3 Storage Terms
Storage is free of charge for the first 60 days from the date of full payment. After 60 days: EUR 20/day.
No insurance during storage unless purchased by the buyer.
If shipping is not arranged within 180 days, goods may be considered abandoned and resold.

3.4 No Liability for Delays
Shipping times are estimates only. Delays do not justify cancellation, refund, or return.

4.OBJECT CONDITION & USE

Most items are vintage. No guarantee of future lifespan. Age-related wear is not considered a defect.
Modernab is not liable for issues arising from non-residential use unless explicitly approved in writing.

5.RETURN POLICY

Returns accepted only for objective discrepancies or proven shipping damage.


Buyer bears burden of proof. If repair is possible and offered by Modernab, returns are not accepted.


Incorrect shipments are corrected by Modernab without refund.


Returns must be requested within 14 days. Buyer covers all return-related costs.


Restocking fee: 25%.


Custom or restored-to-order items are strictly non-refundable.


Shipping delays are not grounds for return.

6.HIRES

Hirers are responsible from pickup to return. Replacement value is defined by Modernab.
Late returns: EUR 100/day. No alteration or improper use allowed.

7.AUTHENTICITY

Modernab conducts due diligence but is not liable for academic re-attributions unless guaranteed in
writing.

8.INTELLECTUAL PROPERTY

All images, descriptions, and content belong exclusively to Modernab.

9.LIMITATION OF LIABILITY

Modernab is not liable for indirect or consequential damages.

10.FORCE MAJEURE

Modernab is not responsible for delays caused by events beyond its control.

11.ACCEPTANCE OF TERMS

Placing an order or making payment constitutes full acceptance of these Terms.

12.GOVERNING LAW

All transactions are governed exclusively by Italian law.


Exclusive jurisdiction: Courts of Venice, Italy.


The CISG is excluded.

13.NO RELIANCE

Only written agreements are binding.

14.SEVERABILITY

Invalid clauses do not affect the remainder.

15.NO ASSIGNMENT

Buyer may not assign rights without consent.

16.LEGAL FEES

If Modernab prevails in litigation, it may recover legal fees and related costs.
